General Provisions<\/span><\/h4><p>1.1. These Terms and Conditions govern the provision of strategy, design and production services by Mik Rahner, including project engagements, fixed-scope Brand Sprint engagements and monthly retainer engagements.<\/p><p><span style=\"font-weight: 300;\">1.2. These terms form an integral part of any agreement between Designer and Client. Agreement may be established through any of the following methods:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Written contract<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Email confirmation or correspondence<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Verbal agreement followed by any work-related correspondence<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Project estimate acceptance<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Payment of initial invoice<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Provision of project materials to begin work<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Any other conduct indicating acceptance of services<\/span><\/li><\/ul><p><span style=\"font-weight: 300;\">1.3. By engaging Designer&#8217;s services through any of the above methods, Client acknowledges and accepts these Terms and Conditions in full.<\/span><\/p><p><span style=\"font-weight: 300;\">1.4. These Terms and Conditions are made available to Client via <a href=\"http:\/\/www.mikrahner.com\/de\/terms\/\">www.mikrahner.com\/terms<\/a> prior to project commencement.<\/span><\/p><h4><span style=\"font-weight: 900;\">2. Service Agreement<\/span><\/h4><p><span style=\"font-weight: 300;\">2.1. All services will be clearly defined in a project estimate or statement of work, including deliverables, timeline, and fees.<\/span><\/p><p><span style=\"font-weight: 300;\">2.2. Work begins only after:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Written approval of project estimate<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Receipt of initial payment<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Provision of necessary project materials by Client<\/span><\/li><\/ul><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">3. Payment Terms<\/span><\/h4><p><span style=\"font-weight: 300;\">3.1. Payment Schedule (unless otherwise agreed in the project estimate):<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">50% of total project fee due upon agreement signing<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Remaining 50% due upon project completion, prior to final file delivery<\/span><\/li><\/ul><p><span style=\"font-weight: 300;\">3.2. All fees are quoted in Euros (EUR).<\/span><\/p><p><span style=\"font-weight: 300;\">3.3. Invoices must be paid within 14 days of issuance.<\/span><\/p><p><span style=\"font-weight: 300;\">3.4. Late payments will incur interest at the statutory rate under Portuguese law.<\/span><\/p><p><span style=\"font-weight: 300;\">3.5. All fees are net. Mik Rahner invoices from Portugal; for business clients in the EU, VAT is accounted for by the Client under the reverse-charge procedure.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">4. Revisions and Changes<\/span><\/h4><p><span style=\"font-weight: 300;\">4.1. Standard Agreement includes two (2) rounds of revisions.<\/span><\/p><p><span style=\"font-weight: 300;\">4.2. Additional revision rounds will be charged at Designer&#8217;s current hourly rate.<\/span><\/p><p><span style=\"font-weight: 300;\">4.3. Substantial changes to project scope may require a new estimate.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">5. Project Cancellation<\/span><\/h4><p><span style=\"font-weight: 300;\">5.1. Client may cancel the project at any time by written notice.<\/span><\/p><p><span style=\"font-weight: 300;\">5.2. Cancellation fees:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">After contract signing, before work begins: 25% of total project fee<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">During initial concept phase: 40% of total project fee<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">During development phase: 60-80% of total project fee (based on completion percentage)<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">During final revision phase: 90% of total project fee<\/span><\/li><\/ul><p><span style=\"font-weight: 300;\">5.3. All work completed up to cancellation remains property of Designer.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">6. Intellectual Property Rights<\/span><\/h4><p>6.1. Designer retains all intellectual property rights until final payment is received.<\/p><p>6.2. Upon final payment, all final deliverables and their source documents (including strategy, positioning, messaging, visual assets and, for Brand Sprint engagements, the Brand Book) are assigned to Client for Client&#8217;s exclusive use.<\/p><p>6.3. Designer retains ownership of underlying methods, processes, tools and templates, and of any pre-existing materials. Where these are embedded in deliverables, Client receives a perpetual license to use them as part of the deliverables. Third-party materials (fonts, stock, software) remain subject to their own license terms.<\/p><p>6.4. Designer retains the right to:<\/p><ul><li>Include project in portfolio<\/li><li>Submit work for publication or competition<\/li><li>Use project for self-promotion<\/li><\/ul><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">7. Client Responsibilities<\/span><\/h4><p><span style=\"font-weight: 300;\">7.1. Client shall:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Provide clear project requirements<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Supply necessary materials in a timely manner<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Review and provide feedback within agreed timeframes<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Ensure they have rights to use any materials provided to Designer<\/span><\/li><\/ul><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">8. Data Protection and Confidentiality<\/span><\/h4><p><span style=\"font-weight: 300;\">8.1. Designer complies with GDPR and Portuguese data protection laws.<\/span><\/p><p><span style=\"font-weight: 300;\">8.2. Client data will be processed only as necessary for project execution.<\/span><\/p><p><span style=\"font-weight: 300;\">8.3. Both parties agree to maintain confidentiality of sensitive business information.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">9. Limitation of Liability<\/span><\/h4><p><span style=\"font-weight: 300;\">9.1. Designer&#8217;s liability is limited to the total project fee.<\/span><\/p><p><span style=\"font-weight: 300;\">9.2. Designer is not liable for:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Indirect or consequential damages<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Third-party claims against Client<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 300;\">Issues arising from Client-provided materials<\/span><\/li><\/ul><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">10. Dispute Resolution<\/span><\/h4><p><span style=\"font-weight: 300;\">10.1. These terms are governed by Portuguese law.<\/span><\/p><p><span style=\"font-weight: 300;\">10.2. Any disputes shall be resolved by the competent courts in Portugal.<\/span><\/p><p><span style=\"font-weight: 300;\">10.3. Parties agree to attempt good-faith negotiation before initiating legal proceedings.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">11. Force Majeure<\/span><\/h4><p><span style=\"font-weight: 300;\">11.1. Neither party is liable for delays due to circumstances beyond reasonable control.<\/span><\/p><h4>\u00a0<\/h4><h4><span style=\"font-weight: 900;\">12. Amendments<\/span><\/h4><p><span style=\"font-weight: 300;\">12.1. These terms may be modified only by written agreement of both parties.<\/span><\/p><p>\u00a0<\/p><h4><strong>13. The Brand Sprint<\/strong><\/h4><p>13.1. The Brand Sprint is a fixed-scope, fixed-price engagement as described at mikrahner.com\/sprint: preparation, two remote workshop days, and the elaboration of the results into a Brand Book, delivered within three weeks of the agreed start date. Where this section differs from sections 2 to 5, this section applies to Brand Sprint engagements.<\/p><p>13.2. The fee is fixed and agreed in writing before work begins; the current fee is published at mikrahner.com\/sprint. Payment: 50% upon commissioning, 50% upon delivery of the Brand Book. Section 3 applies otherwise (14-day invoices, net fees, reverse charge).<\/p><p>13.3. Included in the fixed scope: preparation (market and competitor scan, questionnaire, optional short stakeholder calls), two workshop days (remote, live in Miro, 2 \u00d7 2 hours each), the Brand Book as PDF including a 30-minute video walkthrough of the strategy, one (1) revision round on the Brand Book, and a closing call.<\/p><p>13.4. Workshops on-site at Client&#8217;s location are available on request; travel costs are billed separately.<\/p><p>13.5. Changes beyond the fixed scope are quoted as a separate fixed-price addition or handled within a subsequent retainer. Brand Sprint work is not billed by the hour or by the day.<\/p><p>13.6. The delivery timeline depends on Client&#8217;s availability for the workshop days and on timely feedback; delays caused by Client extend delivery accordingly.<\/p><p>13.7. Cancellation by written notice at any time. Cancellation fees:<\/p><p>After commissioning, before preparation begins: 25% of the fixed fee<\/p><p>After preparation has begun, before the workshop days: 50% of the fixed fee<\/p><p>After the workshop days: 90% of the fixed fee<\/p><p>\u00a0<\/p><h4 data-pm-slice=\"1 1 []\"><strong>14. Retainer<\/strong><\/h4><p>14.1. A retainer is an ongoing monthly engagement: senior brand and marketing capacity, scoped to a defined set of responsibilities recorded in the proposal. Where this section differs from sections 2 to 5, this section applies to retainer engagements.<\/p><p>14.2. The monthly fee is fixed per the proposal and invoiced monthly in advance. Section 3 applies otherwise (14-day invoices, net fees, reverse charge).<\/p><p>14.3. The retainer runs monthly with no minimum term. Either party may end it with 30 days&#8217; written notice to the end of a monthly cycle.<\/p><p>14.4. Scope may be adjusted for the following cycle by written agreement. Work beyond the agreed scope is either added to the scope for the next cycle or run as a separate fixed-price engagement. Retainer work is not billed by the hour or by the day.<\/p><p>14.5. Designer takes a limited number of retainer clients at a time.<\/p><p>14.6.
