Strategy & Design
1.1. These Terms and Conditions govern the provision of strategy, design and production services by Mik Rahner, including project engagements, fixed-scope Brand Sprint engagements and monthly retainer engagements.
1.2. These terms form an integral part of any agreement between Designer and Client. Agreement may be established through any of the following methods:
1.3. By engaging Designer’s services through any of the above methods, Client acknowledges and accepts these Terms and Conditions in full.
1.4. These Terms and Conditions are made available to Client via www.mikrahner.com/terms prior to project commencement.
2.1. All services will be clearly defined in a project estimate or statement of work, including deliverables, timeline, and fees.

3.2. All fees are quoted in Euros (EUR).
3.3. Invoices must be paid within 14 days of issuance.
3.4. Late payments will incur interest at the statutory rate under Portuguese law.
3.5. All fees are net. Mik Rahner invoices from Portugal; for business clients in the EU, VAT is accounted for by the Client under the reverse-charge procedure.
4.1. Standard Agreement includes two (2) rounds of revisions.
4.2. Additional revision rounds will be charged at Designer’s current hourly rate.
4.3. Substantial changes to project scope may require a new estimate.
5.1. Client may cancel the project at any time by written notice.
5.2. Cancellation fees:
5.3. All work completed up to cancellation remains property of Designer.
6.1. Designer retains all intellectual property rights until final payment is received.
6.2. Upon final payment, all final deliverables and their source documents (including strategy, positioning, messaging, visual assets and, for Brand Sprint engagements, the Brand Book) are assigned to Client for Client’s exclusive use.
6.3. Designer retains ownership of underlying methods, processes, tools and templates, and of any pre-existing materials. Where these are embedded in deliverables, Client receives a perpetual license to use them as part of the deliverables. Third-party materials (fonts, stock, software) remain subject to their own license terms.

8.3. Both parties agree to maintain confidentiality of sensitive business information.
9.1. Designer’s liability is limited to the total project fee.

10.2. Any disputes shall be resolved by the competent courts in Portugal.
10.3. Parties agree to attempt good-faith negotiation before initiating legal proceedings.
11.1. Neither party is liable for delays due to circumstances beyond reasonable control.
12.1. These terms may be modified only by written agreement of both parties.
13.1. The Brand Sprint is a fixed-scope, fixed-price engagement as described at mikrahner.com/sprint: preparation, two remote workshop days, and the elaboration of the results into a Brand Book, delivered within three weeks of the agreed start date. Where this section differs from sections 2 to 5, this section applies to Brand Sprint engagements.
13.2. The fee is fixed and agreed in writing before work begins; the current fee is published at mikrahner.com/sprint. Payment: 50% upon commissioning, 50% upon delivery of the Brand Book. Section 3 applies otherwise (14-day invoices, net fees, reverse charge).
13.3. Included in the fixed scope: preparation (market and competitor scan, questionnaire, optional short stakeholder calls), two workshop days (remote, live in Miro, 2 × 2 hours each), the Brand Book as PDF including a 30-minute video walkthrough of the strategy, one (1) revision round on the Brand Book, and a closing call.
13.4. Workshops on-site at Client’s location are available on request; travel costs are billed separately.
13.5. Changes beyond the fixed scope are quoted as a separate fixed-price addition or handled within a subsequent retainer. Brand Sprint work is not billed by the hour or by the day.
13.6. The delivery timeline depends on Client’s availability for the workshop days and on timely feedback; delays caused by Client extend delivery accordingly.
13.7. Cancellation by written notice at any time. Cancellation fees:
After commissioning, before preparation begins: 25% of the fixed fee
After preparation has begun, before the workshop days: 50% of the fixed fee
After the workshop days: 90% of the fixed fee
14.1. A retainer is an ongoing monthly engagement: senior brand and marketing capacity, scoped to a defined set of responsibilities recorded in the proposal. Where this section differs from sections 2 to 5, this section applies to retainer engagements.
14.2. The monthly fee is fixed per the proposal and invoiced monthly in advance. Section 3 applies otherwise (14-day invoices, net fees, reverse charge).
14.3. The retainer runs monthly with no minimum term. Either party may end it with 30 days’ written notice to the end of a monthly cycle.
14.4. Scope may be adjusted for the following cycle by written agreement. Work beyond the agreed scope is either added to the scope for the next cycle or run as a separate fixed-price engagement. Retainer work is not billed by the hour or by the day.
14.5. Designer takes a limited number of retainer clients at a time.
14.6. For retainer engagements, the limitation in section 9.1 applies as the total fees paid by Client in the three months preceding the claim.
